Token Sales Terms & Conditions

1. Introduction

These Token Sales Terms and Conditions ("Terms") govern the sale of DME-T tokens ("Tokens") by DME Services B.V. ("we," "us," or "our") to users of our platform ("you" or "Buyer"). By purchasing DME-T tokens, you agree to be bound by these Terms in their entirety.

Our Tokens are designed to function as a utility token within the DME-T ecosystem, specifically for digital identity verification and credential management for professionals in technical and industrial sectors. DME-T connects technical professionals to their certifications and credentials on the Solana blockchain, creating a secure and verifiable digital identity. The token also serves as a reward system for teams that successfully complete industrial projects safely, timely, and within budget.

DME Services B.V. is a Dutch private limited company established in 2016 that strictly adheres to European and Dutch data protection regulations, including GDPR compliance. All data linked to the DME-T identity platform is securely encrypted and stored on private servers, ensuring your personal and professional data is protected according to the highest standards of security and privacy.

2. Eligibility

To purchase Tokens, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into these Terms
• Not be a citizen or resident of a country where the purchase of digital tokens is prohibited, restricted, or requires special registration
• Comply with all applicable laws in your jurisdiction
• Have a compatible Solana blockchain wallet capable of storing SPL tokens

We reserve the right to refuse service to anyone for any reason at any time, including if we believe you are accessing our platform from a restricted territory or violating any terms herein.

3. Token Pricing and Payment

3.1 Token Price

The price of Tokens is denominated in Euros (EUR) and may fluctuate based on market conditions. The current price will be displayed on our platform at the time of purchase. All displayed prices include applicable sales taxes.

3.2 Payment Methods

We accept the following payment methods:

• Credit and debit cards (Visa, Mastercard, American Express)
• iDEAL (for customers in the Netherlands)
• Direct blockchain transfers (SOL)

All payments are processed through our secure payment processor. By providing your payment information, you represent that you are authorized to use the payment method provided.

3.3 Minimum Purchase

The minimum purchase amount is 10,000 DME-T tokens. There is no maximum purchase amount, though large orders may be fulfilled in multiple transactions.

4. Token Delivery

4.1 Delivery Timeline

For credit card and iDEAL purchases, Tokens will typically be delivered to your specified wallet address within 5-10 minutes after payment confirmation. For direct wallet transfers, Tokens will be delivered within 24 hours after we receive your confirmation email with transaction details.

4.2 Failed Delivery

If your Tokens cannot be delivered due to an incorrect wallet address or other technical issues, we will make reasonable efforts to contact you using the information provided during purchase. If we cannot complete the delivery within 30 days, we reserve the right to cancel the transaction and issue a refund according to our refund policy.

4.3 Transaction Confirmation

All token deliveries will be confirmed via email with transaction details, including the transaction hash, amount, and recipient wallet address. These records serve as proof of delivery.

5. Refund Policy

5.1 Cancellation Period

You may cancel your purchase and request a refund within 24 hours of payment, provided the Tokens have not yet been delivered to your wallet. To request a cancellation, contact our support team at sales@dme-t.com.

5.2 Technical Failures

If a technical failure on our part prevents the delivery of your Tokens and we cannot resolve the issue within 7 days, you will be entitled to a full refund.

5.3 Refund Process

Refunds will be processed using the original payment method when possible. For card payments, refunds typically take 5-10 business days to appear on your statement. For blockchain transactions, refunds will be sent to the originating wallet address.

5.4 Non-Refundable Circumstances

Once Tokens have been delivered to your wallet, the transaction is considered complete and non-refundable. We cannot reverse blockchain transactions after they have been confirmed on the network.

6. Token Utility and Restrictions

6.1 Intended Use

DME-T tokens are utility tokens designed for use within our ecosystem for digital identity verification and credential management. They are not securities, investments, or speculative instruments.

6.2 Ownership Rights

Your purchase of Tokens grants you ownership of the Tokens themselves but does not confer any ownership rights in DME Services B.V., its intellectual property, or platform beyond the specific utility provided by the Tokens within our ecosystem.

6.3 Transfer Restrictions

You may freely transfer your Tokens to other compatible wallets, but you may not use DME-T tokens for any illegal purpose or in violation of any applicable regulations.

7. Risks and Disclaimers

7.1 Blockchain Risks

Token transactions are subject to inherent risks associated with blockchain technology, including:

• Network congestion and delays
• Protocol changes and forks
• Cyberattacks and security vulnerabilities
• Wallet security breaches (not under our control)

We are not responsible for any losses resulting from these inherent blockchain risks.

7.2 Price Volatility

The market value of DME-T tokens may fluctuate. We make no representations regarding the future value of Tokens and provide no guarantees that Tokens will maintain or increase in value.

7.3 No Investment Advice

Nothing in these Terms or on our platform constitutes financial, investment, or other professional advice. You are solely responsible for determining whether purchasing DME-T tokens is appropriate for your financial situation.

8. Intellectual Property

All content on our platform, including text, graphics, logos, and software, is the property of DME Services B.V. and is protected by intellectual property laws. Your purchase of Tokens does not grant you any rights to use our intellectual property except as explicitly permitted.

9. Privacy Policy

Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the platform or Tokens
• Any conduct or content of any third party on the platform
• Any content obtained from the platform
• Unauthorized access, use, or alteration of your transmissions or content

Our total liability for all claims related to these Terms shall not exceed the amount you paid for your Tokens in the 6 months preceding the event giving rise to the liability.

11. Indemnification

You agree to defend, indemnify, and hold harmless DME Services B.V. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney fees and costs, arising out of or in any way connected with your access to or use of our platform or your violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Amsterdam, the Netherlands.

Before initiating any legal proceeding, you agree to first contact us at legal@dme-t.com and attempt to resolve the dispute informally.

13. Amendments

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the amended Terms on our platform and updating the "Last Updated" date. Your continued use of our platform or holding of Tokens after such changes constitutes your acceptance of the revised Terms.
